　　1. 茲經(jīng)買賣雙方同意按照以下條款由買方購(gòu)進(jìn)，賣方售出以下商品： This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and conditions as stipulated hereinafter:

　　Claims: within 45 days after the arrival of the goods at the destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim compensation from the Sellers.

　　3. 不可抗力：由于不可抗力的緣由發(fā)生在制造、裝載或運(yùn)輸?shù)倪^(guò)程中導(dǎo)致賣方延期交貨或不能交貨者，賣方可免除責(zé)任；在不可抗力發(fā)生后，賣方須立即電告買方及在14天內(nèi)以空郵方式向買方提供事故發(fā)生的證明文件；在上述情況下，賣方仍須負(fù)責(zé)采取措施盡快發(fā)貨。

　　Force Majeure: The Sellers shall not held responsible for any delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrence mentioned above within fourteen days thereafter. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.

　　4. 不可抗力：本合同內(nèi)所述全部或部分貨物，如因不可抗力原因，以致不能履約或不得不延期交貨，賣方概不負(fù)責(zé)。

　　Force Majeure: The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of and force majeure.

　　5. 仲裁：凡有關(guān)執(zhí)行合同所發(fā)生的一切爭(zhēng)議應(yīng)通過(guò)友好協(xié)商解決，如協(xié)商不能解決，則將分歧提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)行仲裁，仲裁將是終局的，雙方均受其約束，仲裁費(fèi)用由敗訴方承擔(dān)。

　　Arbitration: All disputes in connection with the execution

　　of this Contract shall be settled through friendly negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party.

　　6. 仲裁：在履行本合同中所發(fā)生的或者與合同有關(guān)的一切爭(zhēng)執(zhí)，由雙方協(xié)商解決。如果協(xié)商后仍不能解決時(shí)，得提請(qǐng)仲裁。仲裁在中國(guó)進(jìn)行，由中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該仲裁委員會(huì)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁裁決為最終決定，對(duì)買賣雙方都有約束力。除該仲裁委員會(huì)另有決定外，仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。 Arbitration: Any and all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties, failing which they shall be submitted for arbitration. The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding

　　upon both Buyer and Seller. Unless otherwise awarded by the said arbitration commission, the arbitration fees shall be borne by the losing party.

　　7. 賣方交貨的義務(wù)以在上述交貨日期前收到買方按第九條的規(guī)定開出的信用證或預(yù)付款為條件。如按合同條款運(yùn)輸工具由買方選訂，賣方將在上述日期將貨物備好。

　　However, the seller’s obligation to deliver is conditional upon receipt from the Buyer of a letter of credit or advance payment in accordance with Clause 9 of this Contract days before the time of delivery stipulated hereof. If a carrier is selected and booked by the Buyer itself in accordance with the terms of this Contract, the Seller will have the commodity ready for shipment by such time of delivery.

　　8. 付款條件：憑以賣方為受益人的、100%保兌的、不可撤銷的、無(wú)追索權(quán)的、可以轉(zhuǎn)運(yùn)的及分批發(fā)運(yùn)的即期信用證，議付期至裝運(yùn)日期后第15天在中國(guó)到期。買方在信用證上請(qǐng)?zhí)钭⒈竞贤��?hào)碼，貨物名稱要按本合同規(guī)定確定。

　　Payment: By 100% confirmed, irrevocable, without recourse L/C, in favor of the Seller, available by sight draft, allowing transshipment and partial shipments, valid for negotiation in China until the 15th day after the date of shipment. The Buyer is requested always to quote in the L/C

　　the number of this Contract and the names of the commodity in accordance herewith.

　　9. 保險(xiǎn)：按照中國(guó)人民保險(xiǎn)公司的保險(xiǎn)條款，按發(fā)票金額的110%投保但不包括罷工、x亂和民變險(xiǎn)，保至目的'口岸為止。如買方要增加保額或保險(xiǎn)范圍，應(yīng)于裝運(yùn)前經(jīng)賣方同意，因此而增加的保險(xiǎn)費(fèi)由買方負(fù)責(zé)。

　　Insurance: For 110% of invoice value, up to the port of destination, as per the insurance clauses of the People’s Insurance Company of China, excluding SRCC Risks. If additional insurance amount or coverage in required, the Buyershall have the consent of the Seller before shipment, and the additional premium thus incurred shall be borne by the Buyer.

　　10.包裝：所有在本合同項(xiàng)下出售的貨物將以賣方認(rèn)為適合于第五條規(guī)定的運(yùn)輸方式的包裝材料包裝。如果對(duì)包裝有其他要求，買方應(yīng)征得賣方同意并承擔(dān)由此而增加的一切額外費(fèi)用。

　　Packing: All the commodities sold thereunder will be packed with packing materials deemed by the Seller suitable for the mode of transportation stipulated in Clause 5 hereof. If additional requirement for packing is needed, the Buyer shall have the consent of the Seller and bear all the extra charges thus incurred.

　　Upon the expiration of the Agreement and Party B's fullfilment of the total turnover mentioned in Article 2, Party A shall pay to Party B…… % commission on the basis of the aggregate amount of the invoice value against the shipments effected.

　　7. 市場(chǎng)情況報(bào)告 Reports on Market Conditions

　　乙方每3個(gè)月向甲方提供一次有關(guān)當(dāng)時(shí)市場(chǎng)情況和用戶意見(jiàn)的詳細(xì)報(bào)告。同時(shí)，乙方應(yīng)隨時(shí)向甲方提供其他供應(yīng)商的類似商品樣品及其價(jià)格、銷售情況和廣告資料。

　　Party B shall forward once every three months to party A detailed reports on current market conditions and of consumers' comments. Meanwhile, Party B shall,from time to time, send to party A samples of similar commodities offered by other suppliers, together with their prices, sales information and advertising materials.

　　8. 宣傳廣告費(fèi)用 Advertising & Publicity Expenses

　　在本協(xié)議有效期內(nèi)，乙方在上述經(jīng)銷地區(qū)所作廣告宣傳的一切費(fèi)用，由乙方自理。乙方須事先向甲方提供宣傳廣告的.圖案及文字說(shuō)明，由甲方審閱同意。

　　Party B shall bear all expenses for advertising and publicity within the aforementioned territory in the duration of this Agreement and submit to Party A all patterns and/or drawings and description for prior approval.

　　9. 協(xié)議有效期 Validity of Agreement

　　本協(xié)議經(jīng)雙方簽字后生效，有效期為**天，自**至**.若一方希望延長(zhǎng)本協(xié)議，則須在本協(xié)議期滿前1個(gè)月書面通知另一方，經(jīng)雙方協(xié)商決定。

In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.

　　5.5租賃期內(nèi)，在乙方遵守合同及支付租金的前提下，未經(jīng)乙方允許，甲方不得進(jìn)入該出租房屋。

　　6 承租方的責(zé)任 PARTY B’S obligations:

　　PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.

　　The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.

　　6.3 乙方只能將出租房屋用做住宅，不得將之用作公司及代表處的注冊(cè)地址，亦不可作為公開的辦公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.

　　6.4 乙方不得在出租房屋內(nèi)進(jìn)行違反法律及政府對(duì)出租房屋用途有關(guān)規(guī)定的行為。

　　PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.

　　PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.

No reimbursement for the said additions.

　　6.8 乙方有權(quán)在墻壁上懸掛畫、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時(shí)，甲方應(yīng)承擔(dān)費(fèi)用拔掉釘子、粉刷墻壁或使墻壁恢復(fù)原狀，并承諾不以此為由扣留乙方的押金。

　　PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.

　　During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.

　　7 提前解約Early termination:

　　7.1六(6)個(gè)月后，乙方如要退租，應(yīng)提前一(1)個(gè)月書面通知甲方終止本租約。在此情況下，甲方應(yīng)在本租約終止后十(10)日內(nèi)將押金全額退還乙方。

　　If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.

　　8 續(xù)租 Renewal:

　　租賃期滿，乙方有優(yōu)先續(xù)租權(quán)，但須提前一個(gè)月通知甲方，并安排簽訂續(xù)租合同。

　　6、 乙方不得拒絕甲方派譴之人員，在適當(dāng)時(shí)間入屋檢視該單位近況或進(jìn)行任何修理工程。

　　Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.

　　7、 當(dāng)租約期滿或終止前X個(gè)月，甲方有權(quán)在不騷擾原則下, 張貼招租告示于該單位外,

　　乙方亦應(yīng)準(zhǔn)許甲方/代理人在合理時(shí)間內(nèi)，帶同新租客進(jìn)入該物業(yè)視察。

　　During the X month immediately preceding the determination of the said term of tenancy, Party A shall be at liberty to affix and retain without interference or molestation on the door or the external parts of the said premises a notice for letting the said premises and the Party

　　B shall permit and allow all persons with written or oral authority from party A or its agent or agents at all reasonable hours of the day to view the said premises or any part or part thereof.

　　8、 租約期滿，乙方如需延長(zhǎng)租約，須在租約期滿 X 個(gè)月前以書面方式通知甲方，經(jīng)甲

　　方同意，乙方可以新訂租金和租約繼續(xù)入住該物業(yè)。

　　X month written notice before the expiration is required for any tenancy renewal; new tenancy agreement will be generated under the consent of both parties.

　　9、 乙方須自行投買風(fēng)災(zāi), 水災(zāi), 火災(zāi), 盜竊, 意外保障等等, 乙方如在該單位內(nèi)有任何損失,

　　甲方不負(fù)任何責(zé)任。

　　Party B shall himself cover insurance for his own belongings against Typhoon, Depression, Storm, Flood, Fire, Theft, Accidents, etc. in relation to this Tenancy. Party A shall not be responsible for any damage or loss under all circumstances.

　　10、 乙方不得于單位內(nèi)制造或容許制造噪音, 異味或任何滋擾鄰居或業(yè)主安寧之舉動(dòng), 其中

　　包括拖欠租金。經(jīng)警告后仍未有所改善, 甲方有權(quán)終止租約。

　　Party B shall not permit any noise or allow any music to be produced in the premises so as to give cause for reasonable complaint from the occupants of neighboring premises, otherwise, Party A has the right to terminate the tenancy immediately if case continued after advised. 11、

　　12、 甲方須承擔(dān)該物業(yè)的房產(chǎn)稅、土地使用稅。 Party A shall pay all property tax, land tax and any other tax or charge of the said premises. 租約期內(nèi)，甲方有權(quán)將該物業(yè)出售給第三者，本合約對(duì)購(gòu)得該物業(yè)之新業(yè)主仍然有效，

　　所有適用于甲、乙雙方的條款，同樣無(wú)條件適用于新業(yè)主和乙方。

　　During term of tenancy, Party A shall have the right to sell the said premises to the third party. The terms and conditions here in contained which applicable to Party A and Party B must be applicable to the new landlord and Party B without negotiation.

　　13、 本合約之附件，包括：家具裝置設(shè)備清單、房屋所有權(quán)證副本，租賃協(xié)議書，均為本合

　　約不可分割的成部分。

　　The attachments, including Furniture Fixture, Appliances List Title Certificate., Property Certificate and Offer letter forms an integrate part of the agreement.

　　14、 本租約適用中華人民共和國(guó)法律、自甲、乙雙方簽章后，雙方均應(yīng)遵守本租約規(guī)定的各

　　項(xiàng)條款，如發(fā)生爭(zhēng)議，雙方不能完滿解決，將依照中華人民共和國(guó)有關(guān)法律仲裁解決。 The agreement is construed in accordance with laws of People’s Republic of China (PRC). Both parties shall perform and observe the stipulation here in contained upon signing. Any disputed shall be referred to arbitration in accordance with the arbitration of PRC. The applicable law shall be PRC law.

　　15、 本租約各有中、英文版本。英文版本為中文版本之譯本，如英文版本與中文版本在翻譯

　　上有所不同，以中文版本為準(zhǔn)。 This agreement is given in Chinese and English languages. The English Language is an abridged translation of the Chinese text but in event of any difference between the Chinese text and the English translation, the Chinese text shall prevail.
